Terms of Service

Effective 21 October 2026

01Agreement

These Terms are a binding agreement between you and Prithvirajsinh Ghatage, Pune, India, trading as OttoEdit ("OttoEdit", "we", "us"). They cover the website at ottoedit.com, the Otto desktop app, and the AI services we provide through them (the "Service"). By creating an account, downloading Otto or using the Service, you accept these Terms and our Privacy Policy. If you use the Service for an organisation, you accept these Terms on its behalf and confirm you have authority to do so. If you do not agree, do not use the Service.

02Eligibility and accounts

You must be at least 18 and able to form a binding contract. Access is by invitation during early access, and we decide who gets a seat. Please keep your details accurate and your sign-in private. Your account is yours alone, so don't share, sell or transfer it, and you are responsible for what happens through it. If you think someone else is using it, tell us and we will help you lock it down.

You may not use the Service, or download, export or re-export Otto, if you are located in a country under comprehensive trade sanctions or embargo, or if you are on a government list of restricted or sanctioned parties (such as the United Nations, United States, European Union or Indian lists). You are responsible for following the export and sanctions laws that apply to you.

03The Service

Otto is an AI editing assistant that works inside third-party editing software on your computer. We provide the AI that powers it, so you do not need your own AI subscription. The Service is in early access. Features may be added, changed, limited or removed at any time, and it may sometimes be unavailable. We may release updates, some of them automatic, and older versions may stop working.

04Your content

"Content" means the footage, audio, images, music, text, projects, instructions and other material you use with the Service. "Output" means the edits, timelines, captions and other results Otto produces for you. As between you and us, you keep ownership of your Content, and we assign to you any rights we have in your Output. You are responsible for your Content. You confirm that you own it or have every right, licence and permission needed to use it with the Service, including the rights of people who appear in it and of anyone whose music, footage or other material it contains.

05Rights you give us

To edit your video, Otto has to be allowed to handle it. So you give OttoEdit permission (a non-exclusive, worldwide, royalty-free licence) to store, copy, process, transmit, analyse and adapt your Content and Output, including screenshots Otto takes and data about how you use the Service. We may pass it to the service providers who help us run Otto, only to do that work. "Non-exclusive" means you stay free to do anything you like with your work. This permission is used only to:

  • provide, operate, secure and support the Service, including by sending it to the AI and infrastructure providers named in our Privacy Policy;
  • monitor, measure and improve the Service; and
  • train, evaluate and improve our own AI models and editing systems, unless you opt out as described in our Privacy Policy.

This permission ends when your Content is deleted, and for training it ends when you opt out. Learning that has already gone into a trained model, or data that no longer identifies you, cannot be taken back out, so that part stays. We will never publish your Content, sell it, or use it in our marketing without asking you first.

Feedback. If you send us ideas, suggestions or feedback, we may use them freely, without paying you or giving you credit.

06Our rights

The Service, including the software, AI models, prompts, workflows, designs, the Otto character, the OttoEdit name and logos, and all improvements to them, belongs to OttoEdit and its licensors. Subject to these Terms, we give you a personal, revocable, non-exclusive, non-transferable licence to install and use Otto on computers you control, for your own editing. All rights not expressly granted are reserved.

07Acceptable use

Otto is built for creators, and these few rules keep it fast, safe and affordable for everyone who uses it. Please don't:

  • copy, modify, decompile, reverse engineer or try to extract the source code, prompts or models of the Service, except where the law expressly allows it;
  • resell, rent, sublicense or share access to the Service, or use it to build a competing product;
  • scrape it, run automated or bulk access against it, or use its outputs to train a competing AI model;
  • get around usage limits, access controls, security or payment;
  • upload or create Content that is illegal, infringes anyone's rights, or is sexual content involving minors, non-consensual intimate imagery, harassment, hate or violent extremism;
  • create deceptive impersonations or deepfakes of real people without their consent;
  • introduce malware or interfere with the Service, our providers or other users; or
  • break any law, or the terms of the third-party software or AI providers the Service relies on.

08AI output

Otto is built to edit well, but like any AI it can sometimes get things wrong, miss something, or produce results similar to ones it made for someone else. You are the director: please review Otto's work before you publish or rely on it, and make sure your final video meets the law and the rules of the platforms you post to. Otto works directly in your projects, so keep your usual backups of footage and projects. We are not responsible for lost or changed project data.

09Third-party software

Otto works with editing software from other companies, such as DaVinci Resolve. That software is licensed to you by its maker under its own terms. OttoEdit is not affiliated with, endorsed by or sponsored by Blackmagic Design or any other software maker. We are not responsible for third-party software, services or changes to them that affect the Service.

Open-source software. Otto includes open-source software and content made by others, such as FFmpeg, Electron and the fonts used for captions. Each is licensed under its own licence, listed with links to its source in Otto under Settings → About → Open-source credits. Nothing in these Terms limits your rights under those licences, and where an open-source licence and these Terms conflict for that component, the open-source licence applies.

10Fees and limits

Early access is currently free. Because every edit uses real AI that costs us money, use comes with fair-use limits, which we may adjust as we grow. You will always be able to see where you stand. If we introduce paid plans, prices, billing and refund terms will be shown clearly before you buy, and you will never be charged unless you agree.

11Suspension and termination

You may stop using the Service and ask us to delete your account at any time. We may suspend, limit or end your access if you break these Terms, if your use creates risk or legal exposure for us or others, if we end early access, or if we stop offering the Service. Where we reasonably can, we will warn you first and give you a chance to fix things. Serious abuse or legal risk may mean acting straight away. If we stop offering the Service, we will give you at least 30 days' notice. Your footage and projects stay on your own computer either way. When access ends, your licence to use Otto ends and you must uninstall it. Sections 4 to 8 and 12 to 17 continue to apply.

12Disclaimer

We work hard to make Otto reliable, but we cannot promise it will be perfect. So the Service and all Output are provided "as is" and "as available". To the fullest extent the law allows, OttoEdit makes no other promises, whether express, implied or by law, including about merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted and error-free operation.

13Limitation of liability

Like every software company, we have to limit what we can be held responsible for. To the fullest extent the law allows, OttoEdit will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, footage, projects, goodwill or business, however caused, even if we were told they were possible. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or INR 8,000 (about USD 100).

Nothing in these Terms limits liability that cannot be limited by law, such as for fraud.

14Indemnity

If someone brings a claim against us because of footage you uploaded or how you used Otto, that responsibility is yours, not ours. So you will defend, indemnify and hold harmless OttoEdit and its owners, staff and providers from any claim, loss, liability, damage and cost, including reasonable legal fees, arising from your Content, your use of the Service or Output, or your breach of these Terms or of anyone's rights.

15Governing law and disputes

If something goes wrong, talk to us first. Most problems can be fixed with an email. These Terms are governed by the laws of India. Before starting any formal action, contact us and give us 30 days to try to resolve the dispute together. Any dispute that is still not resolved will be settled by binding arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator agreed by both of us. The arbitration will take place in Pune, India, in English. Subject to that, the courts at Pune have exclusive jurisdiction. Either party may seek urgent injunctive relief from a court. If you are a consumer, nothing here removes rights that the law of your country gives you and that cannot be waived.

16Changes

We may update these Terms. We will post the new version here with a new effective date. For any change that matters, we will tell you by email or in the app at least 14 days before it takes effect, and explain what changed. If you don't agree, you can stop using the Service before then. If you keep using it afterwards, you accept the updated Terms.

17General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a right is not a waiver of it. You may not transfer these Terms. We may transfer them, including in a merger, acquisition or sale of assets, or to a company we form to run OttoEdit. Neither of us is responsible for delays caused by events beyond reasonable control.
